Welcome to Native Talk! These Terms of Service ("Terms") constitute a legally binding agreement between you and Native Talk ("we," "us," or "our") regarding your use of the Native Talk mobile application and related services (collectively, the "Service"). By downloading, installing, accessing, or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our Service. We may update these Terms from time to time, and your continued use of the Service after such updates constitutes acceptance of the revised Terms.

2. Description of Service

Native Talk is a comprehensive language learning platform that provides four main tools:

  • Fix: AI-powered grammar correction and sentence improvement suggestions
  • Chat: Conversational practice with 100+ AI avatars in multiple languages
  • Read: Interactive story library with tap-to-translate functionality
  • Learn: Structured lessons, quizzes, and progress tracking

Our Service uses artificial intelligence technology to provide personalized language learning experiences across multiple languages including English, Japanese, Chinese, Spanish, Korean, and others.

3. User Accounts and Registration

Account Creation

To access certain features of our Service, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Age Requirements

You must be at least 13 years old to use our Service. If you are between 13 and 18 years old, you represent that you have parental or guardian consent to use the Service.

4. Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal, harmful, or abusive purposes
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers connected to the Service

5. AI-Generated Content and Accuracy

AI Limitations

Our Service uses artificial intelligence to provide grammar corrections, conversation responses, and learning content. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or inappropriate responses.

No Warranty of Accuracy

We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You should use your own judgment and, when appropriate, consult additional sources for important language learning decisions.

User Content

You retain ownership of any text, messages, or content you input into our Service. By using the Service, you grant us a limited license to process your content to provide the Service features.

6. Subscription and Payment Terms

Free and Premium Features

Native Talk offers both free and premium features. Premium subscriptions provide access to advanced functionality, additional content, and enhanced features.

Billing and Renewals

Premium subscriptions are billed through your device's app store (Apple App Store or Google Play Store). Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.

Cancellation and Refunds

You may cancel your subscription at any time through your device's app store settings. Refund policies are governed by the respective app store's terms and conditions.

7. Intellectual Property Rights

Our Content

The Service, including all content, features, functionality, software, text, graphics, logos, and design, is owned by Native Talk and is protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial language learning purposes in accordance with these Terms.

Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our privacy practices.

9. Disclaimers and Limitation of Liability

Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Educational Purpose

Our Service is designed for educational and language learning purposes. We do not guarantee that use of our Service will result in language proficiency or any specific learning outcomes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIVE TALK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Native Talk and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service, violation of these Terms, or infringement of any rights of another party.

11. Termination

Termination by You

You may terminate your account and stop using the Service at any time by deleting the app and discontinuing use.

Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or engage in prohibited conduct.

Effect of Termination

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Native Talk is incorporated, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the appropriate arbitration association, except that either party may seek injunctive relief in court.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms in the app and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
